Cognition AI has acquired Windsurf's remaining assets, including its IP, product, trademark, and brand, after Google's $2.4 billion licensing deal for Windsurf's technology and talent. The acquisition aims to bolster Cognition's AI-driven coding capabilities, integrating Windsurf's integrated development environment (IDE) platform with Cognition's AI agent, Devin. This combination will support developers in planning, delegating, and executing code tasks within a single interface.
The deal ensures that all Windsurf employees will participate financially, with waived vesting cliffs and accelerated vesting for their work. Windsurf's team and platform are expected to integrate with Cognition's efforts to reshape software development using AI. Windsurf's technology includes features such as an AI terminal, inline AI, and a local index.
Windsurf, previously valued at $3 billion in a failed acquisition attempt by OpenAI, had reached $100 million in annual recurring revenue. Google's earlier deal involved hiring Windsurf's CEO, co-founder, and key R&D personnel to advance its Gemini AI coding project.
