Capgemini is set to acquire WNS Holdings, a business process management company, for $3.3 billion in an all-cash deal. The acquisition, expected to close by the end of 2025, aims to bolster Capgemini's capabilities in AI-powered intelligent operations. Capgemini will pay $76.50 per WNS share, a premium over the company's recent trading price.
WNS brings a suite of digital business process services and expertise in specific sectors, complementing Capgemini's existing business services. The deal is anticipated to enhance Capgemini's earnings per share by 4% in 2026 and 7% in 2027. WNS, with over 64,000 employees and 64 delivery centres globally, has a strong presence in India.
The acquisition reflects a strategic move to capitalise on the growing demand for AI-driven solutions, particularly in generative and agentic AI. Capgemini aims to leverage WNS's capabilities to transform business processes and improve efficiency for its clients.
